What is the difference between an asset purchase and a share purchase?+
In a share purchase, the buyer acquires the target company's shares — taking over all assets and liabilities. In an asset purchase, the buyer acquires specific assets and identified liabilities only — providing greater control. Share purchases are simpler from a transfer perspective but carry more risk; asset purchases offer better risk isolation.
When is CCI approval required for a transaction?+
CCI approval is required for combinations exceeding specified thresholds — combined assets of ₹2,000 crore or combined turnover of ₹6,000 crore in India. Transactions meeting the de minimis exemption (target with assets under ₹450 crore or turnover under ₹1,350 crore in India) are exempt.
What are representations and warranties in an M&A transaction?+
Representations and warranties are statements of fact made by the seller about the target business — covering corporate authorisations, financial statement accuracy, absence of litigation, IP ownership, tax compliance and employment matters. Breach entitles the buyer to claim damages or price adjustment.
What is a scheme of amalgamation under the Companies Act?+
A scheme of amalgamation is a court-approved process under Sections 230-232 of the Companies Act 2013. It requires board approval, creditor and shareholder meetings, NCLT approval and ROC filing. The transferor company ceases to exist and all assets, liabilities and employees transfer to the transferee by operation of law.
How long does an M&A transaction typically take in India?+
A private M&A transaction without regulatory approvals can close in 4–12 weeks. Transactions requiring CCI approval add 30–90 working days. Court-approved amalgamations typically take 6–18 months. Complex cross-border transactions requiring FEMA, sectoral and CCI approvals may take longer.
