What key clauses should every commercial agreement have?+
Every robust commercial agreement should include: clear scope of work/deliverables, payment terms, intellectual property ownership, confidentiality obligations, indemnity and limitation of liability clauses, termination rights, dispute resolution mechanism and representations and warranties. Omitting any of these creates significant legal exposure.
Is a contract valid without a stamp?+
Under the Indian Stamp Act, most commercial contracts are valid and enforceable without stamping, though unstamped documents may face admissibility issues in court in some states. Certain agreements like lease deeds, conveyances and loan agreements require stamping. We advise on stamp duty applicability for every agreement.
What is the difference between indemnity and limitation of liability clauses?+
An indemnity clause requires one party to compensate the other for specified losses, including third-party claims. A limitation of liability clause caps the maximum amount recoverable in case of breach. Both are critical commercial protections and the exclusions to limitation clauses significantly affect their effectiveness.
Can a party terminate a contract for convenience?+
A party can terminate for convenience only if the contract expressly provides for it, typically with a notice period. Without such a clause, termination without cause constitutes a repudiatory breach entitling the other party to claim damages. We ensure all termination rights and their consequences are clearly drafted.
What happens if a contract is silent on governing law?+
If silent on governing law, Indian courts apply conflict of laws principles, generally choosing the law with the closest connection to the contract. For cross-border contracts, this creates significant uncertainty. We always recommend specifying governing law and jurisdiction explicitly.
